General Terms and Conditions of Sale

Version in force as of 27 September 2026, applicable to sales concluded on the naked-underwear.com website with consumers.

Article 1: Identity of the seller

The naked-underwear.com website (the "Website") is operated by SAS MLPR, a French simplified joint-stock company (société par actions simplifiée) with a share capital of €1,000, registered with the Rouen Trade and Companies Register (RCS) under number 908 188 675 (SIRET 908 188 675 00023), whose registered office is located at 2 rue Beauvoisine, 76000 Rouen, France, intra-Community VAT number FR64908188675 (the "Seller").

Article 2: Purpose and scope

These general terms and conditions of sale (the "Terms of Sale") govern all sales of products concluded on the Website between the Seller and any consumer (the "Customer"). Any order implies the prior and unreserved acceptance of these Terms of Sale. They prevail over any other document, subject to the mandatory rights granted to consumers by law, from which these Terms of Sale in no way derogate.

Article 3: Products

The essential characteristics of the products (description, composition, sizes, colors) are presented on each product page. The photographs illustrate the products; slight differences in color rendering may exist depending on screens. The composition of each item appears on its product page and on its label. In case of doubt, the Customer may contact customer service before ordering.

Article 4: Prices

Prices are indicated in euros or, depending on the country of delivery, in the currency displayed on the Website, all taxes included, excluding delivery costs. Any delivery costs are indicated to the Customer before the final confirmation of the order. The applicable price is the one displayed on the Website at the time the order is confirmed. Where a price reduction is announced, the reference price is the lowest price charged by the Seller during the thirty days preceding the application of the reduction, in accordance with Article L.112-1-1 of the French Consumer Code.

Article 5: Orders

To place an order, the Customer selects the products, adds them to the cart, checks the contents of the cart, enters their contact details and delivery address, chooses a payment method, then confirms the order after having been able to check the details and the total price and to correct any errors. The sale is concluded at the time of the order confirmation. A confirmation e-mail summarizing the order is sent to the Customer. The Seller reserves the right to refuse an order for a legitimate reason, in particular in the event of proven fraud or an ongoing payment dispute.

Article 6: Payment

The full price is payable at the time of ordering. Payment is made online using the methods offered at the time of payment (in particular credit or debit card and the payment solutions displayed at checkout). Transactions are secured by certified payment providers; the Seller never has access to full card details. Where payment in installments is offered by a third-party provider, that provider's terms apply.

Article 7: Delivery

The products are delivered to the address indicated by the Customer when ordering, in France and in the delivery zones indicated on the Shipping Policy page. Most orders are prepared and handed over to the carrier within 48 business hours. Estimated delivery times are 7 to 12 business days for France and Europe (details of the zones on the Shipping Policy page). In accordance with Article L.216-1 of the French Consumer Code, the Seller delivers no later than thirty days after the conclusion of the contract, unless otherwise agreed. Failing this, the Customer may terminate the contract, after having unsuccessfully requested the Seller to deliver within a reasonable additional period, and be refunded all sums paid. If the order is not delivered within 40 days, the Customer is refunded in full or the order is reshipped, at the Customer's choice.

The risk of loss of or damage to the products passes to the Customer when the Customer, or a third party designated by the Customer, takes physical possession of the products (Article L.216-4 of the French Consumer Code). Any damaged or incomplete package must be reported to customer service as soon as possible so that it can be dealt with.

Article 8: Right of withdrawal

The Customer has a period of fourteen (14) days from receipt of the order to exercise their right of withdrawal, without having to give reasons for their decision, including for items purchased on sale. To exercise it, the Customer simply needs to inform us before the period expires, by means of an unambiguous statement: via the online form available at naked-underwear.com/pages/retours, by e-mail at contact@naked-underwear.com, or by using the model form reproduced in the annex to these Terms of Sale.

The Customer returns the products no later than fourteen days after communicating their decision, to the following address: SAS MLPR, 2 rue Beauvoisine, 76000 Rouen, France. The cost of returning the products is borne by the Customer, except where the product delivered is non-conforming or defective. The refund of all sums paid, including standard delivery costs, is made no later than fourteen days from the recovery of the products or the provision of proof of shipment, using the same payment method as for the order. A store credit may only be offered as an alternative and is only applied with the Customer's express consent.

In accordance with Article L.221-28 3° of the French Consumer Code, the right of withdrawal cannot be exercised for products sealed for hygiene reasons which have been unsealed after delivery. The Customer is only liable for any diminished value of the products resulting from handling other than what is necessary to establish their nature, characteristics and functioning.

For orders delivered to the United States, the right of withdrawal provided for in this Article does not apply: returns are governed by the "Deliveries to the United States" section of the Return Policy.

Article 9: Legal guarantees

Independently of any commercial guarantee, the Seller is liable for lack of conformity of the products under the conditions of Articles L.217-1 et seq. of the French Consumer Code, and for hidden defects under the conditions of Articles 1641 et seq. of the French Civil Code.

The consumer has a period of two years from the delivery of the goods to obtain the implementation of the legal guarantee of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days of their request, free of charge and without major inconvenience to them.

If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

If the consumer requests the repair of the goods but the seller imposes a replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the goods.

The consumer may obtain a reduction of the purchase price while keeping the goods, or terminate the contract and obtain a full refund in exchange for returning the goods, if: 1° the trader refuses to repair or replace the goods; 2° the repair or replacement of the goods takes place after a period of thirty days; 3° the repair or replacement of the goods causes a major inconvenience for the consumer; 4° the lack of conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a reduction of the price of the goods or to the termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. In that case, the consumer is not required to request the repair or replacement of the goods beforehand.

The consumer is not entitled to terminate the sale if the lack of conformity is minor.

Any period during which the goods are out of use for repair or replacement suspends the remaining guarantee period until the repaired goods are delivered.

The rights mentioned above result from the application of Articles L.217-1 to L.217-32 of the French Consumer Code.

A seller who in bad faith obstructs the implementation of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be increased to up to 10% of average annual turnover (Article L.241-5 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept, or to a full refund in exchange for returning the goods.

Article 10: Customer service and complaints

Any question or complaint may be sent to contact@naked-underwear.com or via the form on the Website. Customer service acknowledges receipt and responds as soon as possible, generally within 24 to 48 business hours.

Article 11: Consumer mediation

In accordance with Articles L.612-1 et seq. of the French Consumer Code, in the event of a dispute not resolved with customer service, the Customer may have recourse, free of charge, to the consumer mediator with which the Seller is registered: Médiation Consommation Développement (MED CONSO DEV), www.medconsodev.eu, MED CONSO DEV, C/O Centre d'Affaires Stéphanois SAS, Immeuble L'Horizon, Esplanade de France, 3 rue J. Constant Milleret, 42000 Saint-Étienne. The mediator may be contacted after a prior written approach to the Seller has proved unsuccessful.

Article 12: Personal data

The Customer's personal data are processed in accordance with the Privacy Policy available on the Website, in compliance with the GDPR and the French Data Protection Act (loi Informatique et Libertés).

Article 13: Intellectual property

All elements of the Website (trademarks, visuals, texts, logos) are protected by intellectual property law and remain the exclusive property of the Seller or its licensors. Any unauthorized reproduction constitutes an infringement.

Article 14: Liability

The Seller is liable as of right to the Customer for the proper performance of the obligations resulting from the distance contract, under the conditions of Article L.221-15 of the French Consumer Code. The Seller may be released from all or part of its liability by proving that the non-performance or improper performance of the contract is attributable either to the Customer, or to the unforeseeable and insurmountable act of a third party to the contract, or to a case of force majeure. Nothing in these Terms of Sale limits or excludes the rights that the Customer holds under mandatory legal provisions, in particular the legal guarantees and the right of withdrawal.

Article 15: Applicable law and disputes

These Terms of Sale are governed by French law, without prejudice to any more favorable mandatory provisions of the consumer's country of residence. In the event of a dispute, the Customer may bring the matter before the competent court in accordance with the rules of the French Code of Civil Procedure and Article R.631-3 of the French Consumer Code, in particular the court of the place where the Customer resided at the time the contract was concluded.

By way of exception, orders delivered to the United States are governed by the law of the Customer's State of residence, and not by French law; returns of these orders are governed by the "Deliveries to the United States" section of the Return Policy.

Article 16: Miscellaneous

If any provision of these Terms of Sale is declared void or unenforceable, the other provisions remain fully valid. These Terms of Sale may be amended; the version applicable to an order is the one in force on the day of that order, a copy of which the Customer may request.
